I don't think it is out of control overused like Isabella, Sophia, etc. I think it is a very classic name that will always be popular. I actually prefer the I think French? spelling Emilie.

Ha. Seriously? Emily was the most popular girls' name in this country for the past 10 YEARS. Sophia and Isabella don't stand a chance in comparison to that.
I like Emily, but I'm over the name. It's overdone, IMO. It is pretty, and if you like it--yes, less girls are being named Emily now in favor of Emma, Emerson, Emmy, Emmeline, etc. But it's still a very popular name for this generation.
It might be waning in popularity now, but it's still at the top of the charts (Isabella toppled it, but it didn't fall far). Having been on the top for 10-years, it's an extremely popular name. Rank is always as important as duration.
In Emily's case it's possible that you daughter might not share a class with another Emily, but she will be nowhere near the only Emily in her school and likely not the only Emily in her grade--no matter where you live. Also, you must consider her future workplace if you're at all worried about her having to deal with the popularity of a name. Once we leave grade schools, we're no longer surrounded by people exclusively in our own age group--she'll be in the workplace with all the Emilys that have been named over the last 10+ years. By that time, Emily is going to seem as common as Jennifer and Diane and Nancy and Mary.
It's a beautiful name. I very much like it, but I now consider it just a bit boring, a little too safe, and frightfully common. My advice is to look elsewhere, but my opinion of popular names is probably very different from yours.
If this LO is a girl, there is a strong possibility she will be Emilie, named after DH's great grandma. I think it's along the same lines of Elizabeth, common but classic.
It's not as common in the younger ages, but a name people can see and know what it is. It's crazy as a teacher to go into a classroom and have no clue how to say 1/3 of the names on the list. Emily is a lovely name, and if you love it then even better. She won't be surrounded by others with the same name.
I love the name Emily, unfortunately the popularity kept bugging me and I found a similar, but less popular, name we loved more. That said, it's elegant, simple, obviously feminine, easy to say and spell. And honestly, I don't know any Emilys in my area, so I would definitely take a look at your state and local community.
We named DD2 Emily. It was more of a compromise name because we couldn't agree on anything. Anyway, I rarely hear of any girls named Emily around here...the same with DD1's name (Hannah). Since we live in an urban area, we have more "unique" names. I like more common names anyway!
Re: WDYT of the name Emily?
That is my name. I like it.
